What is it about? Who are we?

These are the terms and conditions of sale of VISTA Concept AG, c/o SPIE Schweiz AG, Alte Winterthurerstrasse 14b, 8304 Wallisellen (“we”, “us”, “our”) and govern the posting of your request on our website.

By placing your request on our website, you accept and agree to be bound by our terms and conditions of sale.

We will post any changes we make to our terms and conditions of sale on this website. The current

terms of sale are dated 23.03.2023.

What are the terms of sale?

We can reject a request without giving reasons, but we are not obliged to check requests.

As soon as a sufficiently specified enquiry has been placed with us, we contact potential buyers and ascertain their interest in this request.

If a buyer is interested in a specific request, we will put the seller and buyer in touch with each other for the sole purpose of concluding a purchase contract (or other legal agreement regarding the transfer of ownership and consideration, including the purchase offer) based on the request and the purchase offer. We are at no time a party to an all-inclusive contract of sale.

We are at no time a party to any purchase contract between the seller and the buyer (or any other legal agreement regarding transfer of ownership and consideration, including modalities). We are not a party to any contract of sale between the Seller and the Buyer (or any other legal agreement relating to transfer of title and consideration, including terms) in respect of the products offered in the Seller’s enquiry and disclaim any liability in relation thereto and make no warranty in respect of the Seller’s or the Buyer’s enquiry, offer to purchase, product or service.

By placing your request, you acknowledge the following:

  • You are acting on behalf of your organization, i.e. the potential seller.
  • You are authorized to place the request on behalf of the seller and to act as the seller’s agent vis-à-vis us.
  • The seller’s request is true with regard to the quality and quantity of the product as well as with regard to the quality and quantity of the product. quality and quantity of the product as well as with regard to availability, use/transmission. The Seller’s request is true and accurate as to the quality and quantity of the Product and as to the availability, limitations of use/transfer and all other information contained in the request.
  • The Seller is the actual legal, beneficial owner of the Product or is acting as the agent of the legal, beneficial owner of the Product who may transfer full and unencumbered possession and title to the Product to the prospective purchaser (otherwise as set forth in the Inquiry).
  • The seller is bound by the request for the duration of the request and the product on which the request is based will not be resold or offered to third parties during the request period and no rights to it will be granted to third parties.

Any claims due to material defects, defects of title or due to the destruction of the item as well as additional conditions, e.g. with regard to place and time of delivery, transport costs, etc., shall be excluded. Delivery place and time, transport costs, payment modalities, software and licenses in connection with the IT hardware, contract execution and the like are the sole responsibility of the seller and the buyer.

We shall only be liable for direct damage caused by an intentional or grossly negligent act of our own. Our liability for direct damage in the case of slight negligence – irrespective of the legal grounds – is expressly excluded, subject to mandatory statutory provisions. Our liability for indirect damage or for consequential damage – irrespective of the legal grounds – is fully and expressly excluded.

The terms and conditions of sale shall be governed by Swiss substantive law to the exclusion of the conflict of laws rules of the IPRG. The UN Convention on Contracts for the International Sale of Goods (CISG) is not applicable.

To the extent permitted by law, any disputes arising in connection with these Terms of Sale and your use of the website shall be subject to the exclusive jurisdiction of the competent court at our current place of business. Notwithstanding the foregoing, however, either party shall be entitled to seek injunctions and restraining orders from any competent authority worldwide.

You may not assign any rights to any third party without our prior written consent.

The invalidity of any provision in these Conditions of Sale shall not affect the validity of the contract between you and us. If one or more of the provisions of these Terms of Sale is invalid or unenforceable, the validity, legality and enforceability of the remaining provisions shall not be affected.
